Board Member Code of Conduct *

Voting Members and Associate Members, including Executive Officers, must demonstrate ethical and professional conduct whilst performing their roles for the Society. Failure to act in accordance with the expectations laid out in this document may result in the loss of good standing, as defined in policy 2.7 of the Society's bylaws.

- Members must be loyal to the interests of the Society and promote its mission and objectives

- Members must always act with fairness, honesty, integrity, and openness

- Members must respect the opinions of others and treat all with equality and dignity without regard to gender, political beliefs, race, age, sexual orientation, disability, or religion

- Members must carry out the Society's business in accordance with the Societies Act of Alberta, a copy of which can be viewed at:
http://www.qp.alberta.ca/documents/Acts/S14.pdf

- Board Members must adhere to the Bylaws and Policies of this Society

- Individual Board Members do not have the authority to speak on behalf of the Society when interacting with the public or the media, except to provide information that has already been made publicly available, or when the Board of Directors has made an exception

- Board Members must take all reasonable steps to protect the confidentiality of information related to the Society, and its members

a. Board Members must not use information collected or held by the Society for personal advantage or profit, or to damage any individual or agency

b. Information must be stored in such a way as to limit the potential for theft or loss

c. All property owned by the Society must be returned when a Board Member departs

- Board Members must avoid any potential conflicts of interest, must report pre-existing conflicts of interest before joining the Board, and must report any conflict of interest they observe in another member. Conflicts of interest may include, but are not limited to:

a. The transaction of private business or personal services between any Board Member and Society

b. Using the Society's name to transact business for individual profit or gain

c. Accepting any form of payment for services rendered on behalf of the Society

d. Having a vested interest that conflicts with the interests of the Society
